1. General
This document constitutes an electronic record and a binding agreement between you and us, created in accordance with the provisions of the Information Technology Act, 2000 ("IT Act") and applicable rules governing electronic records. It is generated by a computer system and does not require any physical, digital, or electronic signature.
These Terms and Conditions ("Terms") set forth essential information related to your trading activities and account usage with Unibonds Securities, a proprietor having its registered office at 807, 8th Floor, 323 Corporate Park, Above DBS Bank, Nr. Girish Cold Drinks Cross Road, Navrangpura, Ahmedabad - 380009 (hereinafter referred to as "Unibonds Securities", "Unibonds", "our", or "we"). The facilitation of debt segment trading is provided by Unibonds Securities through its digital bond investment platform. Access to these services is available via our digital ecosystem, including but not limited to our website (www.unibonds.in), mobile applications, APIs, communication systems, and related technologies (collectively referred to as the "Platform"). These Terms govern your relationship with Unibonds as a user ("you", "client", or "user")—defined as any person who registers on the Platform and intends to avail its services. Unibonds is a member of the Bombay Stock Exchange (BSE Member Code: ####).
The website hosted at www.unibonds.in is owned and operated by Unibonds Securities. These Terms govern your use of all services made available on the Platform. By accepting these Terms, you confirm that you have read, understood, and agreed to be bound by them as a condition of accessing and using the Platform.
All services offered on the Platform are subject to applicable laws, regulatory directives, government notifications, and the rules and regulations established by SEBI and other competent authorities.
2. Disclaimer
You acknowledge and agree that all investment and trading decisions made by you are based solely on your personal investment goals and financial assessment. This includes any decisions derived from information made available through the Platform. You understand that Unibonds Securities serves purely as a facilitator, enabling clients to access financial and commodity markets, and does not seek to influence, guide, or interfere in your decision-making process.
You further agree that Unibonds Securities, along with its directors, officers, employees, agents, affiliates, subsidiaries, business partners, or associates, shall not be held responsible for any losses, damages, or liabilities you may incur as a result of trading activities or reliance on any information, opinions, suggestions, or materials made available through the Platform or distributed via brochures, promotional content, or literature published by Unibonds Securities or its partners.
You are strongly encouraged to consult independent financial, tax, or legal advisors before making any investment decisions. You acknowledge that representatives or employees of Unibonds Securities are not authorized to offer investment advice, and you agree not to request or rely upon any such guidance. If any such advice is unintentionally offered, it shall be considered personal and informal, and Unibonds Securities disclaims any liability arising therefrom.
3. Account Creation and Price Data Guidelines
Prior to accessing any online trading services via the Platform, you are required to complete the registration process as prescribed by Unibonds Securities, which may be revised from time to time. Your trading account will be activated only upon successful submission and verification of the required documents, subject to Unibonds Securities' sole discretion.
Currently, online account opening using Aadhaar is available exclusively for individual residents of India, and only if their Aadhaar is linked to a valid mobile number. In such cases, the information will be fetched directly from the KYC database and will not be editable by the user.
Unibonds Securities does not disseminate real-time price data to users directly, except when necessary to ensure the orderly operation of the securities market or where such sharing is authorized under applicable laws. By using the Platform, you agree that any real-time price data provided is to be used solely for permitted investment-related activities on the Platform. You agree not to utilize this data for any unauthorized or unrelated purposes. Unibonds Securities may, in accordance with applicable regulations, share delayed market data for the purposes of investor awareness and educational initiatives.
4. Usage of the Platform
4.1 Key Responsibilities and Operations of the Platform:
- The Platform is registered under the Debt Market Segment of the Bombay Stock Exchange (BSE) and functions as a brokerage, assisting users in completing the necessary registration with clearing corporations to enable execution of transactions.
- In its capacity as a brokerage, the Platform engages in negotiations on the Request for Quote (RFQ) mechanism provided by clearing corporations, representing users during the process and facilitating the finalization of trades on their behalf.
4.2 Transaction Reporting and Settlement:
- All bond transactions conducted through the Platform are formally reported and settled via designated clearing corporations. However, subject to mutual consent and within the framework of applicable laws, off-market settlements may also be facilitated.
- Users are required to transfer funds solely to the designated account of the relevant clearing corporation, as registered on the Platform. Such transfers must be executed through direct channels such as RTGS or NEFT.
- In the event of any inadvertent or incorrect credit of funds or securities to a user's account, Unibonds Securities retains the right to take appropriate corrective measures to reverse or recover such transactions.
- The Platform maintains detailed records of all user activities and transactions, including Request for Quote (RFQ) data, to ensure transparency and adherence to audit and regulatory compliance requirements.
4.3 Transaction Execution and RFQ Platform Usage:
- Users may indicate their intention to buy or sell financial instruments on the Platform. In response, the Platform facilitates communication with registered counterparties or sellers to enable execution of the proposed transactions.
- Transactions are finalized through direct interaction between the user and the counterparty, based on mutually accepted terms. The Platform does not interfere in the negotiation or specific terms agreed upon between the parties.
- The Platform is not liable for any transaction failure resulting from insufficient funds or securities, or due to incorrect or misleading information provided by the user. Users are solely responsible for any fees, charges, or losses incurred due to such deficiencies. Unibonds Securities reserves the right to recover any such amounts resulting from user negligence or inaction.
- While Unibonds Securities strives to ensure seamless service, it does not warrant the completion of any transaction and shall not be held responsible for disruptions, delays, or failures caused by technical errors, system outages, unforeseen operational issues, or force majeure events.
- These Terms serve as the foundational operational framework under which Unibonds Securities conducts its services, ensuring adherence to regulatory guidelines and promoting secure, transparent, and efficient bond trading through the Platform.
4.4 Refund and Cancellation:
As the Platform operates as an online bond trading interface, refunds or cancellations are not applicable once an order has been successfully placed and settled. However, users may choose to sell their investment—subject to the availability of counterparties and in accordance with the Platform's applicable terms and conditions. Unibonds Securities will provide support to facilitate this process.
In cases where an order has been placed with the exchange but has not been settled, and payment has already been made by the user, the clearing corporation will initiate an automatic refund to the user's original source account.
Additionally, the following procedures apply to trades that have been placed but remain unsettled at the clearing corporation:
- Requests for trade cancellation or modification will be considered by the exchange only if both transacting parties consent and submit appropriate formal requests. A valid reason for the request must be provided by the participants.
- Such requests must be submitted by authorized individuals, including the Risk Officer, Compliance Officer, Chief Investment Officer, or Head of Treasury of the respective participant.
- Trade cancellations or modifications may be permitted in specific cases such as input errors (fat finger), pricing mismatches due to incorrect cash flow assumptions, short selling, shut periods, or other similar circumstances, provided that both parties agree. These requests will only be processed if the complete and accurate documentation is received within 60 minutes of market close. The designated time windows for RFQ deal cancellation/modification requests are:
- T+0 Settlement: Up to 5:15 PM
- T+1 Settlement: Up to 6:15 PM
- For RFQ deal cancellations or modifications involving trades of ₹50 lakhs or less (face value terms)—a measure intended to promote retail investor participation—requests will be allowed up until 5:00 PM on the settlement day. Accordingly, the updated timelines for such RFQ deals are:
- T+0 Settlement: Until 5:15 PM on the settlement day
- T+1 Settlement: Until 5:00 PM on the settlement day
- Modifications are permitted only for specific parameters as determined by the Exchange from time to time. Initially, permissible changes may include settlement start date (T+0/T+1), accrued interest, yield start, and total consideration.
- Non-individual participants may request up to three modifications or cancellations per quarter, while individual investors (identified via PAN) are allowed up to three instances per month. If a participant exceeds these limits, their access to the RFQ platform will be disabled for 15 calendar days. Modification and cancellation requests will be tracked separately. In cases of settlement failure, further actions—including platform disablement—will be undertaken as per SEBI's approval.
- For RFQ deal modification or cancellation, the participant who initiates the request will be considered the "Initiator", and only their instance count will be recorded. The counterpart ("Responder") will not have their instance count affected.
- Changes to Custody details, Bank Account, Demat Account, and total consideration (within a tolerance of ± ₹100) will be permitted without limitation on the number of instances.
- The Exchange will approve cancellation or modification requests only if all specified conditions are satisfied.
- Once a trade modification or cancellation is approved, the relevant updates will be reflected on the RFQ platform accordingly.
- The Exchange will furnish any information relating to trade cancellations or modifications to the Regulator, upon request.
- Details of such instances will also be periodically reported to the designated Committee by the Exchange.
- As part of the Platform's service use, you may be required to provide your mobile number. By doing so, you confirm that the mobile number is registered in your name and under your control.

5. Account Closure and Suspension Guidelines
Unibonds Securities reserves the right to suspend or terminate services provided to a Client under certain circumstances, including but not limited to violations of these Terms or any applicable laws. Such actions may result in partial or complete restriction of the Client's access to features or functionalities on the Platform. In the event of service suspension or termination, for any reason, the Client's right to access or use the Platform and its services shall immediately cease. Unibonds Securities shall not be held liable to the Client or any third party for any loss, claim, or damages arising from such suspension, termination, or any related enforcement actions. This right to suspend or terminate access is in addition to, and not in limitation of, any other legal remedies or obligations available to Unibonds Securities under applicable law.
6. Privacy and data protection
We will use your data solely for the purpose of delivering the services and features offered on the Platform, in accordance with our Privacy Policy. By using the Platform, you expressly consent to the collection, use, and sharing of your data by Unibonds in the manner outlined in the Privacy Policy.
7. Intellectual property rights
You acknowledge and agree that all content available on the Platform—including, but not limited to, software, text, images, graphics, audio, and video—constitutes the exclusive property of Unibonds Securities. We, along with our licensors and affiliates, retain all legal rights, title, and interest in and to the Platform, including all intellectual property rights associated with the services provided through the Platform ("Protected Material"), excluding any third-party content.
You are prohibited from copying, modifying, reproducing, republishing, transmitting, posting, distributing, or otherwise using the Protected Material in any form without obtaining our prior written consent. Any unauthorised use of the Protected Material may constitute a violation of copyright, trademark, or other applicable laws and could subject you to civil or criminal liability.
Subject to the terms of our Privacy Policy, all information generated through your use of the Platform and Unibonds Securities' services shall be owned by us. We reserve the right to use such information as described in the Privacy Policy and in compliance with applicable laws. You also acknowledge that certain information provided on or through the Platform may be designated as confidential by Unibonds Securities, and you agree not to disclose any such confidential information without our prior written approval.
8. Confidentiality
We are committed to maintaining the confidentiality of your personal information in accordance with our Privacy Policy. Both Unibonds Securities and our affiliates recognize the importance of safeguarding your data and shall apply the same degree of care in protecting your information as we do with our own confidential information.
You acknowledge that, in order to deliver certain services available on the Platform, we or our affiliates may be required to share your information with third parties under specific contractual arrangements. Such third parties are obligated to maintain the confidentiality of your data and are permitted to use it only to the extent necessary for providing Unibonds Securities' services, as defined in their agreement with us or our affiliates.
You further acknowledge, consent to, and agree that we may access, retain, or disclose your account-related information when required to do so:
- To enforce these Terms;
- To comply with applicable legal obligations, whether domestic or international;
- To protect the rights, property, or personal safety of the Platform, its users, or the general public; and/or
- As otherwise permitted or required under the Privacy Policy.
9. Modification of Terms
We reserve the right to amend or update these Terms, the Privacy Policy, the Disclaimer Document, and any other applicable policies at our sole discretion, at any time, without prior notice to you. Any such revisions will be published on the Platform. It is your responsibility to periodically review these documents to stay informed of any changes.
By continuing to access or use the Platform following the publication of any modifications, you will be deemed to have read, understood, and accepted the updated Terms, Privacy Policy, Disclaimer Document, and other applicable policies. Additionally, the services and offerings provided through the Platform are subject to modification at our discretion. We are not required to obtain your consent for such changes, nor shall we be held liable to you for any resulting impact.
10. Limitation of liability
- You acknowledge and agree that Unibonds Securities, along with its affiliates, directors, officers, employees, consultants, agents, representatives, and partners, shall not be held liable to you for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages incurred by you, regardless of the cause or legal theory under which such claims arise. This includes, without limitation, any loss or damage resulting from your inability to access the Platform, or difficulties arising from bugs, viruses, trojans, or similar malicious software that may be transmitted by third parties. We also disclaim any liability for loss of your data or any claim arising in connection with your data on the Platform.
- You understand that the Platform may contain links that redirect you to external websites, pages, or applications operated by third parties not affiliated with Unibonds. We do not review, endorse, or guarantee the accuracy or reliability of any third-party content, and we disclaim all responsibility for any data, information, products, services, or materials made available by such third parties.
- The Platform may offer access to third-party tools, which are provided solely for your convenience. These tools are made available on an "as is" and "as available" basis without any warranties, representations, or endorsements from us. We do not monitor or control these tools and assume no liability for your use of them. Your use of any such third-party tools is entirely at your own discretion and risk, and it is your responsibility to review and accept the applicable terms and conditions set by the respective third-party providers.
11. Indemnification
You agree to fully release, indemnify, defend, and hold harmless Unibonds Securities, its affiliates, associate entities, directors, officers, employees, consultants, representatives, agents, and partners from and against any and all claims, losses, damages, liabilities, obligations, costs, or expenses (including, without limitation, reasonable attorneys' fees and legal costs) that may arise out of or relate to:
- Your access to or use of the Platform;
- Your breach of any provision of these Terms, the Privacy Policy, or any other applicable policy;
- Your infringement of any third-party rights, including but not limited to intellectual property, privacy, or proprietary rights;
- Any use or misuse of the Platform by third parties who gain access through your account, whether such access was authorized by you or not; and/or
- Your violation of any applicable law or regulation.
12. Representations and warranties
Users represent and warrant that, by using the Platform:
- You confirm that you are an Indian citizen, or in the case of a juridical person, an entity lawfully incorporated under the applicable laws of India.
- You affirm that you are at least 18 years of age and that your use of the Platform does not and will not violate any applicable law or regulation.
- You represent that the information you provided during the registration process is true, accurate, current, complete, and kept up to date.
- You agree to use the Platform solely for personal, non-commercial purposes. Any use of the Platform or its content for commercial purposes is strictly prohibited.
- You confirm that all investments made through the Platform are funded from your verified bank account, or in the case of a joint account, from an account where you are the primary holder, and that such funds originate from legitimate sources.
- You are responsible for maintaining the confidentiality and security of your account credentials and password and agree not to share them with any unauthorized individuals or third parties.
- You accept full responsibility for all orders and activities carried out through your account on the Platform.
13. Platform Security
A. You must not, under any circumstances, breach or attempt to breach the security of the Platform. Any form of tampering with the Platform, submitting false or misleading information, misrepresenting your identity, or engaging in fraudulent conduct—whether directly or through agents—is strictly prohibited and will be considered a violation of these Terms. Unauthorized access or attempted interference with the Platform's security infrastructure is expressly forbidden.
B. You agree to, amongst others, not to:
- License, lease, rent, sell, assign, transfer, distribute, host, or otherwise commercially exploit the Platform or its content.
- Access or use the Platform for the purpose of developing a competing product or service.
- Copy, reproduce, republish, download, post, transmit, or distribute any part of the Platform's content in any format or by any means without prior written authorization.
- Use the Platform in a manner that may cause harm to Unibonds Securities, its users, or impair the functionality, availability, or accessibility of the Platform, including for any unlawful, illegal, fraudulent, or harmful activity or purpose.
- Harass, impersonate, intimidate, abuse, or threaten any other users of the Platform.
- Post, upload, transmit, or share any content that is illegal, offensive, defamatory, obscene, invasive, pornographic, paedophilic, hateful, discriminatory, infringing, or otherwise violates any applicable law or the rights of others—including content that may harm the unity, integrity, security, or sovereignty of India, disrupt foreign relations, incite criminal activity, or undermine public order.
- Use the Platform for unauthorized or illegal purposes or in breach of these Terms or any applicable laws.
- Attempt to gain access to another user's account, or solicit or collect private information from other users.
- Infringe the intellectual property rights of Unibonds Securities, its affiliates, or any third party.
- Post comments or messages promoting affiliate links, multi-level marketing schemes, repurposed or irrelevant content.
- Upload or disseminate software viruses, malicious code, trojans, or any other programs designed to interrupt, damage, or disrupt any part of the Platform, its services, or the devices of its users.
- Use bots, crawlers, spiders, scraping tools, sniping software, or other automated systems to access or extract data from the Platform for any purpose.
- Conduct automated data mining, harvesting, or extraction activities in connection with the Platform.
- Use the Platform to transmit unsolicited advertising, spam, or any other unauthorized marketing communications.
- Reverse engineer, adapt, alter, distribute, display, perform, publish, or create derivative works based on the Platform or its content.
- Bypass, disable, or tamper with any authentication or security mechanism of the Platform.
- Probe, scan, or test the vulnerability of the Platform or any network connected to it without proper authorization.
- Interfere with the normal operation of the Platform, including attacks such as viruses, overloading, spamming, mail bombing, or crashing.
- Remove or tamper with legal notices or proprietary rights statements, including copyright, trademark, and license information.
- Infringe the privacy of any user or attempt to obtain personal or identifying information without consent.
Violations of system or network security—such as unauthorized access or exceeding your permitted level of access—may result in civil or criminal liability under applicable laws. Unibonds Securities reserves the right to investigate such incidents and cooperate with law enforcement agencies where necessary. We may, at our sole discretion and without prior notice, restrict or terminate access to the Platform to prevent or contain threats such as viruses, security breaches, or system failures.
C. The Platform may include links to external websites or platforms. By clicking on these links, you may be redirected away from the Platform. These links are provided solely for your convenience and informational purposes. Unibonds Securities does not review, control, or endorse the content of any third-party websites linked to or from the Platform. Your access and use of such external links is entirely at your own risk.
14. Force Majeure
We shall not be held liable for any failure to complete a transaction or to fulfil our obligations under these Terms—or any specific terms applicable to our services—if such failure, delay, or hindrance is caused by a Force Majeure Event (as defined below). In such circumstances, our obligations will be deemed suspended for the duration of the Force Majeure Event.
You further acknowledge and agree that we are not responsible for the availability, continuity, or uninterrupted performance of the Platform. You expressly agree that we will not be liable for any loss or damage you may incur in connection with products or services accessed through the Platform, or as a result of a Force Majeure Event. Any cancellations, refunds, or redemptions shall be governed strictly by the applicable policies.
A Force Majeure Event refers to any event or circumstance beyond our reasonable control, including but not limited to: disruption of communication networks, security breaches or system infections, sabotage, fire, flood, earthquake, explosion, natural disasters, civil unrest, strikes or labor disputes, riots, insurrections, acts of war, governmental actions, cyberattacks, unauthorized system access, computer system or data breaches, equipment or power failures, malicious code, or any other technical or mechanical malfunction that affects the operation of the Platform and is outside our commercially reasonable control.
15. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable under any applicable law or regulation, such determination shall not affect the validity, legality, or enforceability of the remaining provisions, which shall remain in full force and effect.
16. Survival
Notwithstanding the termination or cancellation of these Terms, all provisions that are intended by their nature or context to survive such termination shall remain in effect. This includes, but is not limited to, provisions relating to intellectual property rights, confidentiality, limitations of liability, indemnification, disclaimers and warranties, dispute resolution, governing law, and jurisdiction. Additionally, any other provisions that are, by implication or context, meant to survive termination shall continue to apply. The termination of these Terms shall not affect any rights, obligations, or causes of action that may have accrued to either party prior to such termination.
17. Limitation
Subject to applicable law, and notwithstanding any contrary provision under any statute, any claim or cause of action arising out of or related to your access to or use of the Platform, or to these Terms, must be initiated within three (3) months from the date on which the claim or cause of action first arose. Failure to do so shall result in such claim or cause of action being permanently barred.
18. Dispute Resolution, Governing law and jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes arising out of or in relation to these Terms shall be subject to the exclusive jurisdiction of the courts and tribunals located in Ahmedabad.
The parties agree to make reasonable efforts to resolve, through mutual discussion and in good faith, any dispute related to the interpretation, performance, or termination of these Terms, or otherwise connected to this Agreement.
If the parties are unable to resolve the dispute within fifteen (15) days from the date one party issues a written notice of dispute (the "Dispute Notice") to the other, the matter shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended or re-enacted from time to time.
19. User Covenants
When communicating with Unibonds Securities through digital media, it is advisable that the User ensures:
- You confirm that you are accessing the Platform through an authorized and secure channel.
- You are responsible for maintaining the confidentiality of your User ID and OTP. The Platform is private and accessible only through secure login credentials. Except for login authentication, Unibonds Securities and its representatives will never request your User ID or OTP.
- You agree not to engage in communication or transactions with any individual who is not formally associated with Unibonds Securities.
- You must not send emails to or respond to emails from any address that is not an official Unibonds Securities domain. The Company strictly prohibits its employees and representatives from conducting business communications via personal email accounts or unauthorized addresses.
20. Disclaimers
- You understand and acknowledge that purchasing assets listed on the Platform is inherently speculative and carries a high degree of risk, including the potential loss of your entire investment. These assets are suitable only for informed and financially capable investors who fully comprehend the risks involved. You should consider investing only if you are financially able to absorb a complete loss of capital. Unibonds Securities makes no assurance or warranty regarding the achievement of your investment goals or the return of your capital.
- Securities or assets available on the Platform may be illiquid, and there is no guarantee that you will be able to redeem or sell them, whether at a gain or loss. Unibonds Securities does not guarantee liquidity, does not process withdrawal requests, and does not offer any platform-based exit mechanisms. The securities may remain locked until maturity.
- Further, Unibonds Securities does not recommend, endorse, or promote any investment opportunity listed on the Platform. Nothing on the Platform should be interpreted as investment, legal, business, or tax advice. Content made available does not constitute a solicitation or an offer to sell or buy any security or asset by Unibonds Securities. Any information presented is for general awareness and does not constitute a solicitation to transact in any manner.
- You acknowledge that Unibonds Securities is not a trading platform. It merely lists available sellers or bond issuers. The Platform does not operate a bid-ask system, nor does it actively match buyers with sellers to execute trades. Additionally, Unibonds Securities should not be considered a fundraising platform or a stock exchange as defined under the Securities Contract (Regulation) Act, 1956, or any similar regulatory framework.
- Any blogs, articles, FAQs, or other informational content made available through the Unibonds Securities hub are provided solely for educational purposes and to communicate general information about the services and products offered through the Platform. Such content is not intended to constitute legal advice or investment guidance. 21. Limitation of Liability of Unibonds Securities Private Limited
- You acknowledge and agree that neither Unibonds Securities nor its affiliates, nor any third party providing market data, messages, or information via the Platform or other media, shall be held liable for:
- Any inaccuracies, errors, omissions, or delays in the transmission or delivery of such content; or

- Unauthorized access, data theft, or alterations;
- Inaccurate data provided by you;
- Utility or carrier failures, strikes, or system outages.
- Unibonds Securities is not liable for errors, delays, or cancellations resulting from failures in the Reserve Bank of India's systems or any depository or regulatory body. In no event shall we be responsible for any consequential, incidental, or special damages arising from such occurrences.
- If you access third-party websites (e.g., SEBI, stock exchanges) via the Platform, you do so at your own risk. Unibonds Securities has no control over the content or security of these external websites and does not endorse or verify the information provided on them.
- Unibonds Securities makes no guarantee of performance by any third party and does not offer assured returns or security for any investment opportunities listed on the Platform.
- We reserve the right to modify or amend these Terms without any liability and may also determine eligibility conditions for access to the Platform and its services.
- Investment values and returns may fluctuate due to market conditions, including changes in exchange rates. Such fluctuations may negatively affect the income or value of your investments. Since we do not offer tax advice, we strongly recommend that you consult a qualified tax advisor to understand the tax implications of your investments.

- Your use of the Platform does not establish any form of partnership, joint venture, employment, agency, or fiduciary relationship between you and Unibonds Securities.

Unibonds Securities shall provide its services on a commercially reasonable effort basis. However, Unibonds Securities shall not be liable for failure of the system or for any loss, damage, or other costs arising in any way out of:
- Any default by issuers, including NBFCs, banks, or payment gateways, in fulfilling their repayment obligations or other liabilities for any reason whatsoever;
- Server errors or downtime experienced by stock exchanges such as the National Stock Exchange of India Limited (NSE) or Bombay Stock Exchange Limited (BSE);
- Payment gateway failures occurring at the end of the exchanges or their designated clearing corporations;
- Errors in the transfer of incorrect securities by any clearing corporation;
- Inability of you, the Client, to complete an investment due to technical issues with the exchanges or clearing corporations;
- Failure to receive login OTPs or email communications necessary for accessing the Platform;
- Platform downtime or crashes resulting from issues with cloud service providers (e.g., Amazon AWS) or any other third-party service providers;
- Telecom or network system failures, including issues with supporting infrastructure, power fluctuations, or other environmental conditions;
- Any accidents, transportation disruptions, negligence, misuse, errors, or fraudulent acts committed by exchanges, registrars and transfer agents (RTAs), third-party service providers, their employees, agents, or any unrelated third parties;
- Acts of God, including but not limited to fire, flood, war, civil unrest, or other unforeseeable natural or man-made events;
- Any incidental, special, or consequential damages, including but not limited to loss of profits or opportunity, except where such loss arises directly due to the proven negligence or wilful misconduct of Unibonds Securities or its affiliates.
By using the Platform, you expressly agree that such use is at your sole risk. The Platform and related services are provided on an "as is", "as available" and "with all faults" basis. Neither Unibonds Securities nor any of its respective officers, directors, employees, agents, third-party content providers, designers, contractors, distributors, merchants, sponsors, licensors or the like (collectively, "associates") warrant that use of the Site or related services will be uninterrupted or error-free. Neither Unibonds Securities nor its associates warrant the accuracy, integrity, completeness, availability or timeliness of the content provided in the Platform or the materials or services offered in the Platform now or in the future. Unibonds Securities and its associates specifically disclaim all warranties, whether expressed or implied, including but not limited to warranties of title, merchantability, fitness for a particular purpose or non-infringement of the Platform, information on the site or the results obtained from use of the Platform or related services.
